Terms and Conditions

1. Who we are

These Terms and Conditions ("Terms") are a binding agreement between you ("you", "user", "Customer") and:

Impostarz operates the web application available at app.impostarz.com and related services (collectively, the "Service").

2. Acceptance of these Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

3. Eligibility

To use the Service you must:

  • be at least 18 years old (or the age of legal majority in your jurisdiction);
  • have full legal capacity to enter into a binding contract; and
  • not be barred from receiving the Service under the laws of any applicable jurisdiction.

The Service is not directed to children under 18.

4. The Service

Impostarz is an online accounting and finance management tool for freelancers and small businesses. Features may include, without limitation:

  • invoicing and invoice generation;
  • income and expense tracking (transactions and recurring transactions);
  • client, lead and project management;
  • payroll management;
  • receipt scanning and storage;
  • multi-currency tracking with third-party FX rates;
  • an AI assistant for in-app help and data queries;
  • subscription billing and account management.

We may add, change, suspend or remove features at any time.

5. Your account

You are responsible for:

  • providing accurate, current and complete information when registering;
  • keeping your login credentials confidential;
  • all activity that occurs under your account, including actions by users you invite to your organization;
  • assigning appropriate roles and module permissions to users you invite.

You must notify us immediately at hello@impostarz.com if you suspect unauthorized access to your account.

6. Subscription plans, billing and refunds

6.1 Plans

The Service is offered on tiered subscription plans (e.g. Starter, Pro, Grow). Features, limits and prices for each tier are displayed in-app and may change from time to time. Changes will not affect the current paid billing period.

6.2 Payments

Paid subscriptions are processed by Stripe, Inc. ("Stripe"). By subscribing, you also agree to Stripe's terms. We do not store your full payment card details on our servers.

6.3 Auto-renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current price, unless you cancel before the end of the current period.

6.4 Cancellation

You may cancel auto-renewal at any time from the Profile → Subscription section. Cancellation takes effect at the end of the current paid period; you keep access to paid features until then ("grace period"). After that, your account reverts to the free tier.

6.5 Refunds

Except where required by mandatory law (including consumer protection rights of EU/EEA and UK consumers), all payments are final and non-refundable. Where statutory refund or withdrawal rights apply, you may exercise them by contacting hello@impostarz.com.

6.6 Taxes

Prices are exclusive of applicable taxes (e.g. VAT, sales tax) unless stated otherwise. You are responsible for any taxes due based on your location and tax status.

6.7 Promotional codes

Discounts and promotional codes are subject to their specific terms and may be withdrawn at any time.

7. Acceptable use

You agree not to:

  • use the Service in violation of any law or regulation;
  • upload or transmit content that infringes third-party rights, is unlawful, defamatory, harmful, or contains malware;
  • attempt to access accounts, data or systems you are not authorized to access;
  • reverse engineer, decompile, scrape, or attempt to derive source code, except as permitted by mandatory law;
  • interfere with or disrupt the Service, its servers, or networks;
  • resell, sublicense or commercially exploit the Service without our prior written consent;
  • use the Service to send unsolicited communications (spam).

We may suspend or terminate accounts that violate this section.

8. AI assistant disclaimer

The Service includes an AI assistant that can answer questions about your data and provide general suggestions. AI outputs are generated automatically, may be inaccurate, incomplete or out of date, and are provided for informational purposes only. They do not constitute financial, accounting, tax, legal, investment or other professional advice. You are solely responsible for verifying any information before relying on it and should consult a qualified professional for advice specific to your situation.

9. Your content and data

9.1 Ownership

You retain all rights in the data and content you submit to the Service ("Customer Content"), including invoices, transactions, clients, leads, projects, payroll records, receipts and chat messages.

9.2 License to us

You grant Impostarz a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display and process Customer Content solely as necessary to provide, maintain, secure and improve the Service for you, and to comply with legal obligations.

9.3 Your responsibility

You represent that you have all rights necessary to upload Customer Content and that doing so does not violate any law or third-party rights.

9.4 Backups

You are responsible for maintaining your own backups. While we take reasonable measures to protect data, we do not guarantee that no data loss will ever occur.

10. Third-party services

The Service relies on third-party providers, including:

  • Stripe — payment processing;
  • Supabase — hosting, database, authentication, and file storage;
  • Google — OAuth sign-in;
  • Lovable AI Gateway — AI features;
  • Resend / email provider — transactional email delivery via notify.impostarz.com;
  • Frankfurter API — currency exchange rates.

Your use of these services may be subject to their own terms and privacy policies. We are not responsible for third-party services.

11. Intellectual property

The Service, including its software, design, branding, trademarks and content (excluding Customer Content), is owned by Tobio LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.

12. Suspension and termination

12.1 By you

You may stop using the Service and delete your account at any time from the Profile section.

12.2 By us

We may suspend or terminate your account, with or without notice, if:

  • you breach these Terms;
  • payment fails and is not cured;
  • required to comply with law or a binding order;
  • continued provision would create a security, legal or reputational risk.

12.3 Effect of termination

Upon termination, your right to use the Service ends. We will delete or anonymize Customer Content in accordance with our Privacy Policy, subject to retention required by law (in particular, financial records may be retained for up to 7 years after account deletion to comply with tax and accounting obligations).

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under mandatory law (including statutory consumer rights of EU/EEA and UK consumers).

14. Limitation of liability

To the maximum extent permitted by law:

  • Impostarz, its affiliates, directors, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities, even if advised of the possibility of such damages;
  • Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to liability, and (b) one hundred US dollars (USD 100).

Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot be limited under applicable law.

15. Indemnification

You agree to defend, indemnify and hold harmless Tobio LLC and its affiliates from any claim, liability, damage, loss or expense (including reasonable legal fees) arising out of or related to: (a) your use of the Service in breach of these Terms; (b) Customer Content; or (c) your violation of any law or third-party right.

16. Changes to the Service or Terms

We may update the Service and these Terms from time to time. If we make material changes to these Terms, we will notify you in-app and/or by email at least 14 days before the changes take effect (or sooner where required by law or for security reasons). Continued use after the effective date means you accept the updated Terms. If you do not accept, you must stop using the Service.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of laws rules. Subject to any mandatory rights you have as a consumer in your country of residence (which may give you the right to bring claims in your local courts and under your local law), the courts of New York County, New York, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

If you are an EU/EEA or UK consumer, you may also access the European Commission's online dispute resolution platform at https://ec.europa.eu/consumers/odr.

18. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Notices. Notices to us must be sent to hello@impostarz.com. Notices to you may be sent to the email associated with your account or posted in-app.
